Conditions of use

By registering and marketing your products on this website, you certify that you have read and reviewed this Agreement and that you agree to comply with its terms. If you do not want to be bound by the terms of this Agreement, you are advised to stop using the website accordingly. Trinity Logic, LLC only grants vendors use and access of this website, its products, and its services to those who have accepted its terms.

Vendors understand that this website is a lead generator and is explicitly designed to connect suppliers with potential customers.

Hold Harmless

Because this website simply seeks to connect vendors with customers, vendors using this website to market their products agree to hold us harmless against any issue related to anything other than that connection. We are not responsible for vendor vehicles, vendor insurance, vendor payment arrangements with their customers, damage to customer property by vendors, or any other liability resulting from vendor errors or omissions. Furthermore, vendors define their own products including the description, pricing, and quantity pricing. Vendors agree to hold us harmless for any mistakes made by vendors setting up their product offerings.

Product Offering Restrictions

Vendors have broad flexibility when defining their product offerings. Vendors may use various colors, fonts, and styles to build their offerings. HOWEVER, vendors are prohibited from the following:

1. Self-identifying their company directly or through obvious verbiage - this would include phone numbers, email addresses, or any other means of bypassing our referral service.
2. Embedding links in their offerings to direct customers away from our site
3. Using profane or offensive language

To ensure compliance, all vendor offerings will be reviewed whenever they are created or changed. If we feel a change of verbiage is appropriate, we will contact the vendor directly and discuss. We will never make changes to a vendor's product offerings ourselves. Vendors who refuse to bring offerings into compliance will be suspended. Really, none of this should ever be an issue. Make your ads compelling and something your mama would approve of...

Exclusivity

Vendors using this website as a vehicle to market their products does not preclude them from marketing their products on other websites including their own website or that of other vendor aggregators.

Customer Interaction

Because we only supply a sales lead, it is important that vendors make payment and delivery arrangements with their customers independently. Vendors agree to hold us harmless for payment or delivery issues between them and their customers.

When a customer finds and selects one or more products from a vendor, that vendor shall receive an email and a text message indicating an order has been placed. Vendors are expected to respond within a two-hour window during normal business hours as defined by 8 AM to 5 PM in your local time zone. If outside of business hours, vendors have the option of delaying response until the next business day. Obviously, the more responsive you are, the better.

Lead Fees

We supply leads at a flat fixed rate of $2.50 per lead regardless of the quantity or type of product ordered. This fee is non-refundable and represents a best faith effort to connect our vendors with customers who need and want their products.

Invoicing

We will invoice our vendors via email on 30-day terms beginning from the date you register and are approved to sell. You will only be invoiced for leads generated. Should a billing period pass with no leads generated, you will not receive any invoice.

Invoices shall be settled upon receipt and may either be mailed or collected electronically through the vendor portal. We accept all major credit cards, Venmo and PayPal.

Privacy policy

Before you continue using our website, we advise you to read our privacy policy regarding our user data collection. It will help you better understand our practices. In essence, in order to do business with you and to link our customers to you, we need contact information, product information, and pricing - all of which we retain in a database.

Intellectual property

You agree that all materials, products, and services provided on this website are the property of Trinity Logic, LLC, its affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property. You also agree that you will not reproduce or redistribute Trinity Logic’s intellectual property in any way, including electronic, digital, or new trademark registrations. You grant Trinity Logic, LLC a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the content you supply and publish. For issues regarding intellectual property claims, you should contact the company in order to come to an agreement.

User accounts

As a "housewarmer" ("vendor", "seller") user of this website, you will be asked to register with us and provide private information. You are responsible for ensuring the accuracy of this information, and you are responsible for maintaining the safety and security of your identifying information. You are also responsible for all activities that occur under your account or password. If you think there are any possible issues regarding the security of your account on the website, inform us immediately so we may address them accordingly. We reserve all rights to terminate accounts, edit or remove content and cancel orders at our sole discretion.

Applicable law

By using this website, you agree that the laws of the state of Connecticut, without regard to principles of conflict laws, will govern these terms and conditions, or any dispute of any sort that might come between Trinity Logic, LLC and you, or its business partners and associates.

Disputes

Any dispute related in any way to your use of this website or to services you purchase from us shall be arbitrated by state or federal court of Connecticut and you consent to exclusive jurisdiction and venue of such courts.

Indemnification

You agree to indemnify Trinity Logic, LLC and its affiliates and hold Trinity Logic, LLC harmless against legal claims and demands that may arise from your use or misuse of our services. We reserve the right to select our own legal counsel.

Limitation on liability

Trinity Logic, LLC is not liable for any damages that may occur to you as a result of your misuse of our website. Trinity Logic, LLC reserves the right to edit, modify, and change this Agreement at any time. We shall let our users know of these changes through electronic mail. This Agreement is an understanding between Trinity Logic, LLC and the user, and this supersedes and replaces all prior agreements regarding the use of this website.
